1. The Seller
FashionPay ("FashionPay", "we", "us", "our") is operated by Elizabeth Esotor. By accessing or using the FashionPay service (the "Service"), you ("you", "Customer") are entering into an agreement with Elizabeth Esotor.
2. Acceptance of these Terms
By creating an account, accessing, or continuing to use the Service you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.
3. Authority and Account
You confirm that you are at least 18 years old and, if registering on behalf of a business, that you have authority to bind that business. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.
4. The Service
FashionPay is a software-as-a-service platform that helps fashion brands, tailoring businesses, garment factories and apparel manufacturers manage staff, attendance, productivity, jobs, documents and payroll forecasting. The features available to you depend on the subscription plan you select.
5. Acceptable Use
You must not misuse the Service. In particular, you agree not to:
- use the Service for any unlawful, fraudulent or deceptive purpose;
- send spam, malware, or any malicious or infringing content;
- infringe the intellectual property rights or privacy of any person;
- probe, scan, scrape, reverse-engineer, or interfere with the security or integrity of the Service;
- resell, redistribute, or grant access to the Service to third parties outside the scope of your subscription; or
- circumvent any technical limits, usage allowances or access controls.
6. Licence
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business operations during your subscription term.
7. Intellectual Property
FashionPay and all related software, documentation, designs, trademarks and content are and remain our exclusive property. No rights are granted to you except as expressly set out in these Terms.
8. Customer Data
You retain all rights in the data and content you upload to the Service. You grant us a limited licence to host, process, transmit and display that content solely as necessary to provide the Service to you. You are responsible for ensuring you have the necessary rights and consents (including from your staff) for the data you upload.
9. Payment, Subscriptions and Refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Service Level
We work hard to keep the Service available and reliable, but we do not warrant that the Service will be uninterrupted, error-free, or free from delays or loss. To the fullest extent permitted by law, all implied warranties (including merchantability and fitness for purpose) are disclaimed.
11. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, for: material breach of these Terms; non-payment; suspected fraud, security or abuse risk; or repeated or serious policy violations. You may cancel your subscription at any time through Paddle's customer portal.
On termination, your right to use the Service ends immediately. We will, where reasonably practical, allow you a short window to export your data before it is deleted.
12. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service shall not exceed the fees you paid to us (via Paddle) in the 12 months preceding the event giving rise to the claim. We shall not be liable for any indirect, consequential, special, incidental or punitive damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
13. Indemnity
You agree to indemnify us against any claims, losses, damages or expenses arising from your customer data, your unlawful use of the Service, or your breach of these Terms.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts located in Nigeria shall have non-exclusive jurisdiction over any disputes.
15. Assignment & Force Majeure
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets. Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control.
